Terms of Use

Operated by Bhoruka Auto Tech Private Limited (“Vyngo”, “we”, “us”, “our”)

These Terms of Use (“Terms”) govern your access to and use of Vyngo’s online marketplace platform and related services, including the website, and the dealer app (collectively, the “Platform”). By accessing or using the Platform in any capacity, you agree to be bound by these Terms. If you do not agree, you must stop using the Platform.

1. Nature of Services and Marketplace Disclaimer

Vyngo provides an online marketplace that enables commercial vehicle dealers (“Dealers”) to list and sell used commercial vehicles to buyers (“Buyers”).

Vyngo is not a vehicle dealer, broker, reseller, or auctioneer. All commercial vehicle transactions occur directly between Buyers and Dealers.

Vyngo does not:

  • Take ownership or possession of vehicles
  • Verify the accuracy of Vehicle Listings
  • Provide post-sale warranties or after-sales services
  • Become party to the sale contract between Buyer and Dealer

Users are solely responsible for their interactions and transactions with each other.

2. Eligibility and User Accounts

  • Users must be at least 18 years old and legally capable of entering into binding contracts.
  • Users must provide accurate and complete registration information and keep account credentials secure.
  • Dealers must be legally authorized to sell commercial vehicles in India and comply with applicable laws.

Vyngo may suspend or terminate accounts with inaccurate information or misuse of the Platform.

3. Vehicle Listings and Dealer Responsibilities

Dealers must ensure all listings are accurate, truthful, and comply with applicable law, including:

  • Real and current photos
  • True mileage and vehicle history
  • Disclosure of major damage, defects, or modifications
  • Clear pricing and additional fees (if any)

Dealers are solely responsible for:

  • Document authenticity and legal ownership transfer
  • Taxes, challans, and any outstanding dues
  • After-sales obligations or warranties offered by the Dealer

Dealers indemnify Vyngo from any claims arising from inaccuracies, fraud, or non-compliance.

4. Buyer Responsibilities, Inspections & Purchase

Buyers are solely responsible for:

  • Physical inspection and test-drive
  • Independent verification of title, condition, valuation, and suitability
  • Financing approvals and compliance with lender requirements

Vyngo does not guarantee vehicle quality, safety, or roadworthiness.

Vyngo is not liable for:

  • Mechanical issues
  • Hidden defects
  • Document irregularities
  • Delays in title transfer

Vyngo does not mediate disputes between Buyers and Dealers.

5. Payments, Fees, and Refunds

Vyngo may collect payments on behalf of Dealers as a limited payment collection agent. Vehicle title never transfers to Vyngo at any time.

Refunds for deposits, booking amounts, or cancellation policies are determined by the Dealer. Vyngo’s obligation is limited to refunding any Vyngo-specific service fees collected by Vyngo, where applicable.

6. Permitted Use and Conduct

Users agree not to:

  • Misuse the Platform for illegal activities or fraud
  • Post misleading or infringing content
  • Interfere with platform functionality or security

Vyngo may remove listings or suspend Users to protect marketplace integrity.

7. Intellectual Property

All software, trademarks, and content on the Platform are owned by or licensed to Vyngo. Users may not copy, modify, or commercialize any part of the Platform without permission.

Feedback submitted to Vyngo may be used royalty-free for service improvement.

8. Limitation of Liability

To the fullest extent permitted by law:

Vyngo is not liable for:

  • Vehicle condition, accuracy of listings, or post-purchase issues
  • Loss of profits or business
  • Personal injury or property damage from vehicle purchase or use
  • Any claim relating to actions or omissions of Buyers or Dealers

9. Indemnity

Users agree to indemnify, defend, and hold harmless Vyngo, its affiliates, employees, and officers from any claims, losses, costs, or damages arising from:

  • User actions or omissions
  • Vehicle transactions
  • Violations of these Terms or law

10. Term and Termination

Vyngo may suspend or terminate access for violations, fraudulent activity, or legal compliance requirements. User obligations relating to payments, indemnity, warranties, and liability survive termination.

11. Governing Law & Dispute Resolution

  • Governing Law: Laws of India
  • Exclusive Jurisdiction: Courts of Mumbai, India

Any dispute with Vyngo shall be resolved by binding arbitration in Mumbai, India under the Arbitration and Conciliation Act, 1996.

12. Amendments

Vyngo may modify these Terms at any time. Material changes will be notified through the Platform.

Continued use constitutes acceptance of updated Terms.

Dealer Code of Conduct

Version 1.0 — Effective 21 October 2025

This Code forms part of the Terms of Use and is binding on all Dealers using the Platform.

Dealers agree to the following standards:

Vehicle Listing Integrity

  • Accurate specifications, pricing, mileage, engine/chassis numbers
  • Real photos of each vehicle listed
  • Mandatory disclosure of major repairs, accidents, or defects
  • No odometer tampering or misleading claims

Compliance and Documentation

Dealers are solely responsible for:

  • Valid RC and ownership documentation
  • Tax clearance, challans, permits, fitness certificates
  • Transfer of ownership within statutory timelines

Customer Conduct and Communication

  • Respond promptly to inquiries and test-drive requests
  • Provide safe, courteous inspection/test-drive experiences
  • No harassment, coercion, or misrepresentation

Finance and Payments

  • Accurately explain charges and financing terms
  • No hidden fees or unauthorized payments
  • Compliance with applicable lending regulations (if facilitating finance)

Fraud Prevention

Prohibited activities include:

  • Listing non-existent or duplicate vehicles
  • Document forgery
  • Illegal or unsafe modifications

Breach

Vyngo may remove listings, suspend accounts, or blacklist Dealers who violate this Code. Dealers indemnify Vyngo for any legal or financial consequences caused by their actions.
